Terms of Service

1. Overview
Welcome to Medda Technologies Incorporated (“Medda”, “we”, “our”, or “us”). Medda is a patient-first interoperability platform supporting continuous medical care, designed to facilitate secure request, access, management, and sharing of medical or health information (“Platform”). By using our services, you agree to comply with these Terms of Service (“Terms”). If you do not agree, please do not use our platform. Medda reserves the right to change any information, material or content contained on or provided through the Platform at any time, and from time to time, without notice.
2. Eligibility
You must be a resident of Canada (except Quebec) and at least the age of majority in your province/territory to create an account and use Medda. If you are accessing Medda on behalf of a minor or another individual for whom you are legally responsible, you confirm that you have the legal authority to do so and will provide any proof or evidence of the same upon request.
3. Account Registration & Security
You will be required to register for a Medda user account (“Account”) to use the Platform and Medda’s services. You must provide us truthful, accurate and complete information. It is your responsibility to maintain the confidentiality of your account credentials, including your password and any authentication measures. Any activities conducted under your account are your responsibility. If you suspect unauthorized access or a security breach, you must notify Medda immediately to take appropriate action.
Medda reserves the right to disable any Account issued to you at any time in the event of a breach of any of your warranties, representations or obligations under these Terms. If Medda disables access to an Account, you may be prevented from accessing the Platform, your account details or any other content.
4. Services Provided
As part of your medical care, Medda can enable you to:
a) Request medical records from record holders.
b) Access and store medical records securely.
c) Share records with healthcare providers (including Medda Care), caregivers, or trusted individuals.
d) Utilize AI-driven tools for data structuring, summarization, and translation.
e) Control permissions and access to health data.
Note that we do not guarantee the availability of any particular data at any particular time.
5. User Responsibilities
When using Medda, you must comply with all applicable laws, including your Provincial health information act and the applicable Provincial or Federal personal information protection act. It is prohibited to upload, share, or store or use Platform in any way that includes false, misleading, or fraudulent data. Additionally, you must refrain from any misuse of Medda’s services, including attempts to gain unauthorized access, tamper with system functionality, or engage in activities that could disrupt the Platform’s operation.
6. Data Privacy & Security
Medda is committed to protecting your data through encryption and advanced security protocols, in compliance with our Privacy Policy (found at medda.ai) which you agree to in order to use Medda. Medda continuously monitors and updates its security measures to safeguard sensitive information from unauthorized access or breaches. We retain your personal information for only so long as is necessary to fulfill the purposes for which it was collected or as required to meet legal or regulatory requirements.
7. Consent for Medical Record Retrieval
All requests are submitted via the Platform through Medda Care or your healthcare providers, and utilize the Platform on your behalf. In addition to any authorization and consent you agree to, by using services related to your health information, you authorize Medda Care or your healthcare providers to request and review medical records from healthcare providers on your behalf through the Platform. You can revoke this consent. We are not responsible for your medical providers actions and you must engage with them directly if you have any issues or concerns with their use of the Platform.
You may be required to provide individual medical information request forms as part of the services. You confirm your use of the Platform is to benefit coordinating and managing your medical care. Medda and Medda Care rely on the accuracy and authority of the information you provided.
All decisions on requests are made solely by the record-holder (i.e. a clinic, doctor, or government agency) and cannot be guaranteed by Medda.
8. Fees & Payment
Medda may charge you fees for services and use of the Platform, including requesting and retrieving medical records and any passthrough costs. All efforts will be made to disclose applicable fees before completing any transaction. Payment is required before accessing the Platform or accessing services. Users are responsible for any charges incurred while using Medda’s services, and failure to complete payment may result in service restrictions. No refunds will be issued.
9. Limitation of Liability
Medda is not a healthcare provider and does not offer medical advice. Further we do not provide any legal, financial, estate or other professional advice. We are not liable for any:
a) Inaccuracies in medical records or any information provided by third-party record holders or other health care providers.
b) Decisions made based on data retrieved, shared, or stored via Medda.
c) Unauthorized access resulting from user negligence.
d) Information, suggestions or usage in or of the Portal.
FURTHER, EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS AND TO THE FULLEST EXTENT PERMITTED BY THE LAW THAT APPLIES TO YOUR JURISDICTION, MEDDA PROVIDES THE PLATFORM, SERVICES AND ANY CONTENT WITHOUT WARRANTY OR CONDITION OF ANY KIND. USE IS AT YOUR OWN RISK. MEDDA DOES NOT MAKE ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS, WHETHER EXPRESS OR IMPLIED, ABOUT THE MERCHANTABILITY, MERCHANTABLE QUALITY, QUALITY, ACCURACY, RELIABILITY, COMPLETENESS, CURRENCY, TIMELINESS, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THE PLATFORM, SERVICES OR ANY CONTENT. THERE MAY BE ERRORS, OMISSIONS OR INACCURACIES AND MEDDA IS NOT RESPONSIBLE FOR THEM.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY AGREE THAT NEITHER MEDDA NOR ITS SUPPLIERS OR TECHNOLOGY PROVIDERS WILL BE LIABLE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR ANY OTHER LEGAL THEORY, FOR ANY DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION INDIRECT, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, LOST PROFITS, LOSS OF USE, LOSS OF DATA, PERSONAL INJURY OR OTHER LIABILITIES), WHETHER OR NOT MEDDA OR ITS SUPPLIERS ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, RESULTING FROM OR RELATED TO THE USE OF, OR THE INABILITY TO MAKE USE OF, THE PLATFORM, SERVICES OR ANY CONTENT.
WITH RESPECT TO ANY DIRECT DAMAGES, YOU AGREE THAT THE TOTAL AGGREGATE LIABILITY OF MEDDA OR ITS SUPPLIERS OR TECHNOLOGY PROVIDERS IN CONNECTION WITH OR UNDER THESE TERMS OR YOUR USE OF, OR INABILITY TO MAKE USE OF, THE PLATFORM, SERVICES OR ANY CONTENT IS LIMITED TO $25.00. THE EXISTENCE OF ONE OR MORE CLAIMS UNDER THESE TERMS WILL NOT INCREASE MEDDA’S MAXIMUM LIABILITY AMOUNT.
Medda uses AI to support its services. AI generated information provided to you will be identified as such and will not be a substitute for direct communication with Medda or a healthcare provider. AI may provide information that is inaccurate to your requests or interactions with you. Medda will not be liable to you or any third party for the AI providing inaccurate information.
The limitation above reflects the allocation of risk between you and Medda. The limitations specified in this section will survive and apply even if any limited remedy specified in these terms is found to have failed of its essential purpose.
10. Internet Risks
You understand, acknowledge and agree that Medda does not control, and accept no responsibility for, any content passing through the internet. You understand, acknowledge and agree that the internet is inherently risky even if reasonable security measures are taken. You understand, acknowledge and agree that Medda cannot and does not guarantee the security of data transmitted over the internet or public networks in connection with your use of the Platform but has implemented security controls, as well as, reasonable administrative, technical and physical safeguards in an effort to protect against unauthorized access, use, loss, modification and disclosure of data.
11. No Unlawful or Prohibited Use
You will not use the Platform, services or any content for purposes other than as intended by Medda and without limiting the foregoing, you agree not to, and not to allow third parties to use the Platform, services or any content:
a) to violate, or encourage the violation of, the legal rights of others;
b) to engage in, promote or encourage illegal activity, serious harm, or injury to individuals or groups of individuals;
c) for any unlawful, invasive, infringing, defamatory or fraudulent purpose including, violating intellectual property rights of us or others or phishing;
d) to distribute viruses, worms, trojan horses, corrupted files, hoaxes, or other items of a destructive or deceptive nature;
e) to gain unauthorized access to, disrupt, or impair the use of the Platform, services or any content, or the equipment used to provide the same, by customers, authorized resellers, or other authorized users;
f) to disable, interfere with or circumvent any aspect of the Platform, services or any content, or the equipment used to provide the same;
g) to generate, distribute, publish or facilitate unsolicited mass email, promotions, advertisements, or other solicitations;
h) take any action that imposes an unreasonable or disproportionately large load on the Platform; or
i) use the Platform, services or any content as part of any service for sharing, lending or multi-person use.
Any violation of these bounds is a breach and may result in immediate termination of access.
12. Termination & Suspension
Medda may immediately terminate, or suspend, these Terms, or cease providing the Platform, services or any content at any time: (i) if you do not fully comply with these Terms; (ii) if necessary to prevent threats to the privacy, security or integrity of your data or the data of anyone; (iii) if any fees are unpaid; (iv) to comply with any applicable law or court or order; and/or (v) for any reason, including events not in our control.
13. Changes to Terms
We may update these Terms at any time, and from time to time, without notice. Continued use of Medda after any changes constitutes acceptance of the revised Terms. However we will take efforts to provide you with updated information regarding these Terms.
14. General
These Terms represent the entire agreement between you and Medda regarding use of the Platform, services and any content. In the event a court of competent jurisdiction finds any provision of these Terms to be unenforceable, the remainder of the provisions shall be unaffected and continue in full force and effect. The failure of Medda to enforce strict performance of any provision of these Terms shall not be construed as a waiver of any such provision or right.
You agree that your use of the Platform, services or any content will not violate any applicable local, national or international law, including but not limited to any regulations having the force of law. If you violate any of these Terms, your limited license to use the Content will automatically terminate. You must immediately cease your use of the Site and destroy any copies of the Content or any portion thereof.
